Terms of Service

1. Acceptance of Terms

By accessing or using OmniAssist ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you and OmniAssist.

2. Description of Service

OmniAssist is an AI-powered virtual assistant platform that provides conversational AI assistance across multiple professional domains including Healthcare, Legal, Finance, Education, Technology, and others. The Service is provided on a subscription basis with a free tier and paid plans.

3. Eligibility

You must be at least 13 years of age (or 16 in the EU/UK) to use the Service. By using OmniAssist, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. User Accounts

Access to the Service requires authentication via Manus OAuth. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorised use of your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Transmit harmful, offensive, defamatory, or illegal content
• Attempt to circumvent usage limits, access controls, or security measures
• Reverse engineer, scrape, or extract data from the Service in bulk
• Impersonate any person or entity
• Use the Service to generate content intended to deceive, defraud, or harm others
• Interfere with or disrupt the integrity or performance of the Service

7. Subscriptions and Payments

Paid subscription plans (Pro and Enterprise) are billed on a monthly or annual basis via Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel.

• Subscriptions renew automatically unless cancelled before the renewal date
• You may cancel your subscription at any time from the Billing page; cancellation takes effect at the end of the current billing period
• Refunds are not provided for partial billing periods, except where required by applicable law
• We reserve the right to change pricing with 30 days' notice to existing subscribers

8. Usage Limits

The Service enforces daily message limits based on your subscription plan. Free plan users are subject to a daily message cap. Paid plans have higher or unlimited limits as described on the Pricing page. We reserve the right to adjust these limits with reasonable notice.

9. Intellectual Property

Our content: All trademarks, logos, and service marks displayed on OmniAssist are the property of their respective owners. The OmniAssist platform, including its design, code, and non-user-generated content, is protected by intellectual property laws.

Your content: You retain ownership of the content you input into the Service (your messages, uploaded files, and templates). By using the Service, you grant us a limited, non-exclusive licence to process your content solely for the purpose of providing the Service to you. We do not use your conversation content to train AI models.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Limitation of Liability

To the fullest extent permitted by applicable law, OmniAssist and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to reliance on AI-generated content in professional contexts. Our total liability to you for any claim arising out of or relating to these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless OmniAssist and its operators from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via the in-app What's New announcement system at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the relevant courts. If you are an EU/UK consumer, you retain the benefit of any mandatory consumer protection laws in your country of residence.
